Terms & Conditions

We supply services to our customers on the terms set out below….

Opening Hours

UK Head Office:  Our normal office hours are from 9am to 5.30pm. However we are able to receive material at our central London delivery point between 8.30am & 6.30pm Mon-Fri, 12pm to 4pm on Saturdays. We are able to receive work via our FTP site at any time of day or night.

US Office:  Our normal office hours are from 9am EST/6am PST to 8.30pm EST/5.30pm PST.  We are able to receive work via our FTP site at any time of day or night.

Turnaround Times

Our services are available on various turnaround times, such as 5 day, 4 day, 3 day, 2 day, next day, and less than 24hours. The number of days refers to working days only. The deadline is calculated by counting the number of days following the day of receipt of material.

Whilst we fully appreciate the importance of your deadlines, and will use our reasonable endeavours to achieve them, we cannot 100% guarantee the same and cannot take responsibility for problems outside our control (e.g. power cut, bandwidth connection, problem with ISP, unforeseen technical issue) which may cause a delay, and no liability shall be attached to Take 1 Transcription in the event of delivery being delayed. Time is not of the essence. Delay shall in no circumstances amount to or be deemed to be a breach of any contract, neither shall you be entitled to treat the contract as repudiated by reason of the delay, or claim any financial compensation. Take 1 Transcription will make all reasonable efforts to make you aware of any delays that occur, as soon possible.

Material received before 6.30pm is classed as being received on that day.

Material received before midnight PST is classed as being received on that day.  All deadlines are guaranteed by 10am PST of the corresponding working day.

The “transcript emailed by” dates are the outside times we work to, if your booking form specifies a certain time we will do our best to meet your requirement. We email transcripts through as soon as they are completed (we do not wait for them all to be completed before sending them to you).

Please note that we agree to deadlines based on the time you estimate the material to arrive with us. If the material is delayed it may not be possible to meet the deadline originally agreed. If this occurs we will always discuss your options with you.

Layout and format of transcript

Our protocol is to produce one transcript per roll. Should you require something different – for example one roll split into two transcripts, or interviewees from separate rolls merged into one transcript, this should be requested. We will only charge extra should this take a significant amount of time to administer. You will be advised if that is the case.

When we provide you with a version of your transcript, suitable for import into your media asset management, or editing software, for example Avid ScriptSync or Pilotware, we cannot 100% guarantee the import will be successful.  We will always work hard with you to make the required changes to facilitate a successful import.

Script Delivery

Please spell your email address(es) carefully on the booking form, as these determine the safe arrival of your transcripts.

We are quick to respond if we get a bounce-back, and will ring you immediately to check the spelling of your email address(es). However, if we do not get a bounce-back, we will always assume you have received the scripts.

In the unlikely event that your transcripts do not arrive on time, please call us immediately on 0800 0854418 (UK) or (855) 958 2531 (US).

Transfer charges

Solid state media

All material submitted to us in a physical format is subject to a transfer fee for encoding. Rates are as follows:

Audio Cassette
All the above at GB£3.00/US$5.00 per item
GB£10.00/US$16.00 per tape
From GB£60.00/US$95.00 per tape

NB We may charge for tapes which are found to contain no dialogue or are faulty.

Please note that we assume no liability for any tapes including masters which are broken or damaged during the transfer process.

Digital Files

Whilst digital files that are uploaded to our FTP site are free of charge, we do on occasion have to charge for transcoding some file types.

Digital files that conform to our preferred file types (see our Tech Spec for details) that are uploaded to either our or your FTP site
Large, uncompressed digital files, that are sent in on portable storage such as external hard drives, USB sticks etc.
Up to 50p/80cents per min of material
Small, compressed digital files such as WMVs etc. that are sent in on portable storage or DVD etc.
20p/30cents per min of material

Please note that we assume no liability for any portable storage devices which are broken or damaged during the transfer process.

Tape Durations

Pre-edited Material:
Please aim to keep the content of tapes/digital files, to a maximum of 60 minutes of footage per tape. If you send us more than 60 minutes of footage per tape/digital file, you may be charged a surcharge, of which you will be advised. When sending us audio cassettes, please only record dialogue onto one side of the audio cassette.

Finished Programmes:
Please supply us with one tape/digital file per programme. If you send us more than one episode per tape/digital file you may be charged a surcharge which you will be advised of. If your programme is particularly long in duration we do prefer to receive it all on one tape/digital file.

Faulty tapes

If we discover that your tape/digital file is faulty, we will inform you as soon as possible.

Poor labelling and/or unreliable tape log

Any job requiring extra time either for administration or having to scan material for any reason, will be subject to a surcharge. You will be advised of any such surcharge. For example due to:

  • Poor tape/file labelling
  • Unclear tape/file log
  • Unreliable tape/file log
  • No tape/file log on large jobs (ie over 10 rolls)
  • Consistently faulty tapes/files


We can handle all types of timecode. However, please note if the timecode on your footage is not continuous (eg time of day timecode), and you don’t forewarn us, you may be liable for a surcharge to cover the extra time this takes us. NB: There is a specific question on the booking form regarding time of day timecode.

Material quality

Our prices are based on the assumption that source material contains clear, professionally recorded audio. Any job where the quality of the material results in the transcription taking significantly longer than usual will be subject to a surcharge. You will be advised of any such surcharge. Examples of such occasions include:

  • Poorly miked material
  • Heavy background noise
  • Technical problems interfering with the material quality
  • Poorly recorded mini & micro cassettes
  • Heavy foreign accents

Administration Time

In the event that your job takes significantly longer than normal to process, we reserve the right to charge an administration surcharge of GB£60/US$95 per hour of our time.  We will of course inform you by phone or email if this becomes applicable to your job.

Minimum charges

Transcription of unedited material is charged at a minimum rate of 1000 words per 10 minutes of material.

If you only require certain sections to be transcribed, please supply us with explicit and accurate timecodes indicating these exact sections. If you are unable to supply us with these timecode references, a minimum charge of 1000 words per 10 minutes of recording will still be made.

A minimum charge per job will be applied as follows:

  • Transcription of Unedited Material: GB£60.00/US$90.00
  • TX01 & TX02 Scripts: GB£60.00/US$90.00
  • TX03 & TX04 Script: GB£85.00/US$135.00

Editing & Reversions

We charge on an hourly rate for editing and reversions as follows:

  • 5 day turnaround: GB£60.00/US$90.00 per hour
  • 4 day turnaround: GB£65.00/US$100.00 per hour
  • 3 day turnaround: GB£70.00/US$110.00 per hour
  • 2 day turnaround: GB£75.00/US$120.00 per hour
  • next day turnaround: GB£80.00/US$130.00 per hour
  • less than 24 hrs turnaround: GB£100.00/US$140.00 per hour

Hard Copies of Transcripts & CDs

Our charges are as follows:

  • Print out of a hard copy of your transcript: 30p/50cents per page + postage
  • CD containing your transcript: GB£10.00/US$16.00 per CD + postage

Cancellation Fee

Once you have booked in your job with us it will be included onto our system and typist capacity will be assigned to it. For our “less than 24 hour”, “next day” and “overnight express” services, cancellation fees will apply as follows:

  • Less than 24 hours notice:50% of total cost
  • Between 24 & 48 hours notice: 25% of total cost.

(If unedited material and therefore on 1000 word rate, an estimated value is calculated using an average of 8,000 words per hour of footage) (UK only).

In respect of all jobs, regardless of turnaround, where you notify us not to proceed after we have received the media , and therefore processing has already commenced, we reserve the right to either charge you for the work already completed, or 50% of the total estimated cost, whichever is the higher.

Post Production /As Broadcast Scripts

Our Post Production / As Broadcast Scripts are successfully delivered to a wide variety of networks. We have adapted the layout and content of transmission scripts in accordance with what we understand networks’ requirements to be. However we strongly suggest you check the exact delivery requirements stated by your network in order to ensure that you select the transmission script which best meets their needs, and we do not accept liability if our script does not exactly meet their requirement. Examples of our post production scripts can be viewed on this website under Services / Post Production / As Broadcast Scripts.

The rates for our Post Production / As Broadcast Scripts, refer to broadcast slot, for example you will be charged for 60 minute programme, for a show which fits an hour broadcast slot, regardless of the show’s actual running time.

On occasions the BITC can cause a caption to become illegible. On these occasions we indicate as such within the body of the script.

Please note that Rough Cuts will be treated as a Transmission Script 01 and charged accordingly.


As with our transcripts in English, a 25% surcharge may be added for unclear or unprofessionally recorded audio, or for non-studio or poorly miked interviews.

For audio quotes, we will charge for the full duration of the file(s) provided, unless you provide in and out time codes of where the sections for translation occur.

When we charge you on an hourly rate, we will give an estimate of time that the translation will take before the job is started. This is only an estimate and we cannot be held responsible if the final number of hours differs.

For fast turnarounds and for specialist translations, such as Advertising, Marketing, Press Releases etc, we will add a 20% surcharge to the invoice total. We will notify you if a surcharge applies at the time of booking.

Where the services are to be performed at a venue provided or organised by you, Take 1 Transcription shall have no liability for any accidental loss or damage caused to the premises to the fullest extent permissible by applicable law. For the avoidance of doubt, you shall be responsible for any public liability arising from occupation of the premises. You shall and hereby agree to indemnify Take 1 Transcription and its employees or sub-contractors in respect of any loss, liability or damage (including but not limited to liability for death or injury) that Take 1 Transcription may suffer directly or indirectly as a result of or in connection with the performance of the services.

Minimum Charges for Translations

For audio, when logging each file/tape, we will round up to the next whole minute and charge accordingly.

Our minimum translation charge per language is £80 /US $130.

Listening charge

In the event that we are sent a roll for translation that does not contain any foreign language to be translated, or another foreign language (i.e. not the language that has been booked in), there will be a 50% minimum charge of the number of minutes on this roll.

Subtitling Terms

All rates quoted are based on the services requested and information supplied or assumed regarding duration. Duration denotes the full running time of any item of video or audio that forms part of your project and is calculated from the first frame of displayable video to the last, not including any part breaks but including all silences and pauses that form part of the video or audio being adapted by us.

All quotes are valid for a period of 30 days and may be subject to change if your project changes in any way.

Minimum charges apply (detailed at the time of individual quote).

If we are working for you for the first time or we deem it necessary, we may require a deposit payment in advance.

Bike request service (UK only)

This service is available for collection between 9am and 5pm Monday to Friday, and is available to London based clients only. The service is charged as follows:

  • Central London: GB£15.00 per collection
  • Outside Central London: GB£20.00 per collection

We reserve the right to apply an additional charge in the following circumstances: Waiting time is accumulated; The collection time changes; Request for collection is cancelled.

Receiving Tapes/Master Tapes and Returning Tapes

We assume no liability for tapes (including master tapes) lost to or from our premises or broken or damaged during the transcription process. We advise you not to send us your master rushes tapes but rather to send us copies. If you decide to send master rushes tapes to us please note Take 1 Transcription will endeavour as far as reasonably practicable to protect your master rushes tapes from the time of receipt at our Central London media deposit point at 43 Bedford Street, Covent Garden, London WC2E 9HA, during transcription when the master rushes tapes will be held at our Head Office at Crane Chambers, 58 High Street, Cranbrook, Kent TN17 3DL, United Kingdom, until completion of your transcriptions when we will return the tapes to 43 Bedford Street ready for you to arrange collection. However, we do not accept liability for any associated costs, losses, damages, both direct and indirect, consequential or otherwise, including without limitation any re-shoot costs, that may be incurred in the event that your master rushes tapes are lost, damaged, destroyed, stolen or rendered unusable whilst in either our possession or that of one of our third party suppliers.

We aim to return your tapes to you via recorded post or courier, within two working days following completion of your transcription. If you require them urgently please specify when booking the job in with us. However we cannot guarantee or be liable for any delay.

If you do not request your tapes to be returned to you, we will keep them for a period of one week after which they will be destroyed.


All prices quoted are exclusive of VAT (applicable to bookings via our UK office only). Work will be invoiced on completion of the job and the then current VAT rate applied. Our payment terms are strictly 14 days net. If payment has not been made within 14 days we reserve the right to apply interest at a rate of 2% above base rate and withhold services.

You may not withhold a payment which is due to us, where you are unhappy about any other services provided.

Our quotes and estimates are only fixed for 30 days, or such shorter period as is stated on the quote, after that they may be varied by us.


Our policy is to treat the content of all client material as confidential. We are very used to handling particularly sensitive material, and all of our typists and translators have signed a Confidentiality Agreement, safeguarding the content of your material.

Where we pass you any of our confidential information about products, prices, customers or other material you agree to keep this strictly confidential without limit as to time and we shall keep your confidential information confidential too. You must not supply us with information you are not entitled to hand to us whether because it be protected by intellectual property law, laws of confidence or data protection or other laws.

No solicitation of staff

You must not entice our staff or contractors away from our business whether directly or indirectly to you or a connected company for the duration of our provision of services to you and for one year after. If you do without prejudice to our other rights you will pay us 12 months gross pay of such person which you agree is a reasonable pre-estimate of our losses in such a case.

Complaints and Limitations of Liability

We guarantee to supply you with accurate transcripts and translations to the best of our abilities. Our typists, translators and production team are highly experienced, and whilst every attempt is made to ensure that the services provided are done so as accurately as possible, no warranty is given in that regard, and Take 1 Transcription shall not be held liable for any consequential loss, loss of profit, revenue, good will or loss of reputation or damage caused by any inaccuracy or difference of interpretation to the fullest extent permissible by applicable law.

Save as provided below, in addition, our liability is always limited to the fee you have paid for the individual piece of work, and as identified by our Job Item ID.

Nothing in these terms however excludes liability for death or personal injury caused by our negligence nor for fraudulent misrepresentation which may not by law be excluded.

In addition we have no liability under these terms or otherwise for all circumstances beyond our reasonable control including caused by strikes, emergencies, power failures, Governmental regulations, terrorism or any other act of force majeure.

Should you have any complaints regarding the quality of our work or service please direct them to either Dom Bourne (Managing Director) or Carole North (Operations Director) (UK Office), or Louise Tapia (Sales & Marketing Director) (US Office). Any query must be raised in writing within 7 days of you becoming aware of the alleged service defect, and no longer than a maximum of 90 days after the delivery date of the service provided.

Intellectual property rights

Where you provide material to Take1 you must ensure you are entitled to do so and you will fully indemnify us if our use of that material results in a third party claim against us.

Use of rights

Where we undertake work for you for a particular purpose, you may not use that work for other purposes including without limitation other purposes such as subtitling for which the work may not be suitable and you will fully indemnify us if you do so.

These terms comprise a contract between you and us and replace any other terms between you and us. They are the entire agreement between us save that any terms on our accompanying order setting out the work to be done except where in conflict with these terms shall also form part of this agreement and if we signed any non disclosure agreement that shall continue to apply. You confirm you have not relied on any representations or statements made by us. Any variation to these terms must be in writing signed by both of us. These terms are subject to English law and any disputes whether contractual or otherwise between us shall be subject to the exclusive jurisdiction of the English courts. No third party shall be a beneficiary under this Agreement whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise. Our failure to enforce a right shall not amount to a waiver of our rights. Any void term shall be severed from these terms and the rest of the provisions shall still stand with full force and effect. Use of Take 1 Systems and Software

We provide access to communications services in order to undertake our service to you.

By using these services, you warrant, undertake and agree that:

You will keep secure any identification, password and other confidential information relating to your use of our services and you will notify us immediately of any known or suspected unauthorised use of your login details, or any known or suspected breach of security, including loss, theft or unauthorised disclosure of your password information.

You are prohibited from probing, scanning, testing or reverse engineering Take 1 computer systems and/or software, and you must not gain or attempt to gain unauthorised access to Take 1 computer systems for any purpose. Such action may lead to criminal prosecution under the Computer Misuse Act 1990.
